ProseWeaver Marketplace Terms & Conditions

These Terms & Conditions (“Terms”) govern the use of the ProseWeaver website and marketplace (“Prose Weaver”, “Marketplace”, “we”, “us” or “our”).

By creating an account, listing or purchasing a service, or otherwise using the ProseWeaver Marketplace, you agree to these Terms and our Privacy Policy.

1. About ProseWeaver

ProseWeaver is an online marketplace designed to connect writers, authors and other customers (“Customers”) with independent publishing professionals (“Professionals”).

Professionals may offer services including, but not limited to:

• Beta reading
• Editing and proofreading
• Formatting and typesetting
• Cover design and illustration
• Book blurb writing
• Narration and voice services
• Publishing assistance
• Book promotion and marketing
• Other approved writing and publishing-related services

Unless expressly stated otherwise, Professionals are independent service providers and are not employees of ProseWeaver.

2. Eligibility and Accounts

You must provide accurate and current information when creating an account.

You are responsible for maintaining the security of your username, password and account.

You must not impersonate another person, create an account using false information, or allow another person to use your account in a manner that breaches these Terms.

ProseWeaver may require email verification or other reasonable verification before activating or approving an account.

3. Professional Accounts

Professionals must provide accurate information about their identity, experience, qualifications, skills and services.

Professionals must not claim qualifications, professional experience or expertise they do not possess.

ProseWeaver may review Professional profiles and service listings before publication and may request amendments where necessary.

Approval of a Professional or service listing does not constitute an endorsement, certification or guarantee by ProseWeaver of that Professional or their work.

4. Service Listings

Professionals are responsible for ensuring their listings accurately describe the service being offered.

Listings should clearly identify, where applicable:

• Price
• Scope of work
• Word or page limits
• Deliverables
• Turnaround time
• Customer requirements
• Revisions included
• Important exclusions or limitations

Professionals must deliver substantially what was described and purchased.

ProseWeaver may refuse, suspend or remove listings that are misleading, unlawful, inappropriate, outside the intended scope of the Marketplace, or contrary to these Terms.

5. Orders

An enquiry or conversation between a Customer and Professional does not constitute an order.

A Customer must purchase the relevant service through the ProseWeaver checkout before paid work begins.

Professionals should confirm that an order has been received and that its payment/order status permits work to proceed before beginning the service.

6. Prices and Payments

Service prices are set or displayed through the ProseWeaver Marketplace.

Customers must pay for Marketplace services using the payment methods made available through ProseWeaver.

Professionals must not ask Customers who originate through ProseWeaver to make payment outside the Marketplace for the purpose of avoiding ProseWeaver fees or commissions.

7. ProseWeaver Commission

ProseWeaver charges a 20% Marketplace commission on each completed transaction.

The remaining 80% represents the Professional’s earnings from that transaction, subject to any applicable refunds, reversals, chargebacks, taxes, payment-processing requirements or other adjustments permitted under these Terms.

By listing services on ProseWeaver, Professionals agree to this commission structure.

ProseWeaver may change its fees in the future. Any material change will apply prospectively and will be communicated or published before it takes effect.

8. Professional Payouts

Professional earnings become payable after the relevant service has been completed, subject to the order and payment being valid and no unresolved cancellation, refund, dispute or chargeback applying.

Payouts may be made using the payment methods supported by ProseWeaver, including PayPal or supported card/payment-processing facilities where available.

Professionals are responsible for providing accurate payment information.

ProseWeaver is not responsible for delays resulting from incorrect Professional payment details or delays caused by third-party payment providers outside ProseWeaver’s reasonable control.

9. Taxes

Professionals are responsible for determining and meeting their own tax, GST and other financial obligations arising from income earned through the Marketplace, except where ProseWeaver is legally required to collect, deduct, report or remit an amount.

Customers and Professionals should obtain their own tax advice where necessary.

10. Cancellations and Refunds

Customers should contact the Professional or ProseWeaver promptly if they wish to cancel an order.

Whether an order can be cancelled or refunded may depend on factors including whether work has commenced, the proportion of work already completed, whether work has already been delivered, and the circumstances giving rise to the request.

Refunds for Marketplace transactions must be processed through the applicable ProseWeaver process.

Professionals must not privately arrange refunds or alternative payments in order to circumvent the Marketplace.

Where a refund, chargeback or reversal occurs, the corresponding Professional earnings and ProseWeaver commission may be adjusted as appropriate.

Nothing in these Terms limits any rights or remedies that cannot lawfully be excluded under applicable law.

11. Disputes

Customers and Professionals should first attempt to resolve ordinary service issues professionally through ProseWeaver communication channels.

If a dispute cannot be resolved, either party may contact ProseWeaver for assistance.

ProseWeaver may review relevant information including the original service listing, order details, Customer instructions, communications, submitted files and evidence of delivery.

Professionals and Customers agree to cooperate reasonably with this process.

ProseWeaver’s assistance with a Marketplace dispute does not prevent either party from exercising rights available to them under applicable law.

12. Better Messages and Communications

ProseWeaver may provide Better Messages or another messaging system to allow Customers and Professionals to communicate.

Messaging may be used for:

• Pre-purchase questions
• Project requirements
• Clarification
• File exchange where enabled
• Order-related communication
• Delivery questions

Messages are communication. They are not orders or payments.

Users must not use messaging to harass other users, distribute spam, transmit unlawful material, solicit prohibited transactions, or deliberately circumvent ProseWeaver’s payment system.

13. Confidentiality

Professionals must treat Customer manuscripts, drafts, ideas, unpublished material, personal information and project information as confidential.

Customer material must not be published, distributed, sold, disclosed, reused or shared with third parties without the Customer’s permission except where reasonably necessary to provide the purchased service or where disclosure is required by law.

Customers should likewise respect confidential or proprietary materials supplied by Professionals.

14. Intellectual Property

Customers retain ownership of the manuscripts, writing and other original materials they provide to Professionals.

Providing material to a Professional does not transfer ownership of that material.

Professionals retain ownership of their pre-existing tools, templates, methods and materials unless otherwise agreed.

Ownership and permitted use of work specifically created for a Customer should be stated in the service description or otherwise agreed between the Customer and Professional.

Users must not upload or provide material they do not have the legal right to use.

15. AI and Third-Party Tools

Professionals should not upload confidential or unpublished Customer material to generative AI systems or other third-party services where doing so would compromise confidentiality, violate the Customer’s instructions, or grant inappropriate rights over the Customer’s material.

Where the use of AI or another automated tool materially forms part of the service being sold, Professionals should accurately describe its use where relevant to the Customer’s purchasing decision.

16. Reviews

Customers may be able to leave ratings or reviews following completed transactions.

Reviews should reflect genuine experiences.

Users must not submit fabricated reviews, manipulate ratings, offer improper incentives for misleading reviews, or threaten another user in an attempt to influence a review.

ProseWeaver may remove reviews that are fraudulent, abusive, unlawful, irrelevant or otherwise breach Marketplace policies.

17. Prohibited Conduct

Users must not use ProseWeaver to:

• Commit fraud or misrepresentation
• Sell unlawful services
• Infringe copyright or intellectual-property rights
• Harass or threaten other users
• Distribute malware or harmful content
• Obtain or misuse another person’s personal information
• Manipulate reviews
• Circumvent Marketplace fees
• Use another person’s account without authorisation
• Misrepresent qualifications or experience
• Engage in conduct that materially compromises the security or integrity of the Marketplace

18. Independent Professionals

Professionals operate as independent service providers.

Unless expressly stated otherwise, ProseWeaver does not employ Professionals and is not a party to their professional practice or business operations.

Professionals are responsible for how they perform their services and for complying with laws and professional obligations applicable to them.

19. Marketplace Availability

We aim to keep ProseWeaver available and functioning correctly but cannot guarantee uninterrupted or error-free operation.

The Marketplace may occasionally be unavailable because of maintenance, updates, hosting issues, payment-provider issues or circumstances outside our reasonable control.

20. Suspension and Termination

ProseWeaver may restrict, suspend or terminate an account or remove a service listing where we reasonably believe there has been:

• A serious or repeated breach of these Terms
• Fraud or attempted fraud
• Marketplace fee circumvention
• Serious misconduct toward another user
• Intellectual-property infringement
• Misuse of customer information
• A security threat
• Unlawful activity

Where appropriate, we may provide the user with an opportunity to respond or correct the issue.

21. ProseWeaver’s Role

ProseWeaver provides the Marketplace infrastructure through which Customers and independent Professionals can discover one another, communicate and transact.

We do not guarantee that a Professional will receive orders or income.

We do not guarantee that a particular Professional or service will meet every Customer’s requirements.

Users should review service descriptions, Professional information and other relevant information before entering into a transaction.

22. Limitation of Liability

To the maximum extent permitted by applicable law, ProseWeaver will not be liable for indirect, consequential or special losses arising from use of the Marketplace.

Nothing in these Terms excludes, restricts or modifies any liability, guarantee, right or remedy that cannot lawfully be excluded or restricted.

23. Privacy

ProseWeaver handles personal information in accordance with its Privacy Policy and applicable privacy law.

Users must also handle personal information obtained through the Marketplace responsibly and only for legitimate purposes connected with the relevant transaction.

24. Changes to These Terms

ProseWeaver may update these Terms from time to time.

The current version will be published on the ProseWeaver website with its effective or last-updated date.

Where a change materially affects existing Professionals or Marketplace transactions, ProseWeaver will take reasonable steps to communicate the change before it applies where appropriate.

25. Governing Law

These Terms are governed by the laws of New Zealand.

Any dispute relating to these Terms or use of ProseWeaver will be subject to the jurisdiction of the New Zealand courts, subject to any applicable statutory rights concerning jurisdiction or dispute resolution.
